Cancelling an Agent-Negotiated Deal: Pauses, Cut-offs and Termination

Yes, a deal an AI agent negotiated can be cancelled, but only on the terms that agent accepted at the moment of agreement. The practical questions are which kind of stop is needed (a pause, a cut-off or a full termination), how much notice the deal requires, and who on the buyer's side is allowed to give it.

TL;DR: Treat cancellation as a deal term rather than an emergency button, because the agent fixes the exit terms when it agrees the deal. Under the standard US digital terms published by the 4A's and the IAB, a guaranteed buy can be cancelled without penalty on 14 days' written notice unless the order is marked non-cancellable. Agent protocols now record pausing and cancelling as distinct actions, so the safer setup lets an agent pause within limits and sends cut-offs and terminations to a named human.

What are the three ways to stop an agent-negotiated deal?

A pause suspends delivery while the deal stays alive, so it can resume on the same terms. A cut-off ends delivery early, usually by shortening the flight or removing part of the deal, while the rest of the agreement stands. A termination ends the whole agreement, either without cause under a notice period or for cause after a breach.

The three exits carry different consequences. A pause rarely triggers a notice clause, a cut-off usually does, and a termination for cause normally needs a written breach notice and a cure period first. An agent that treats the three as interchangeable can turn a short suspension into a permanent exit the buyer never intended.

Where are the cancellation rights in an agent-negotiated deal written down?

The cancellation rights in an agent-negotiated deal are whatever the two agents agreed at the moment of agreement. If the buyer's agent accepted a non-cancellable flight to secure scarce inventory, a human cannot unwind that later without the seller's consent. The first check is therefore the agreed record, not the platform's pause button.

Alkimi offers one worked example of how that record can be kept. In its Marketplace, agreed terms go into a DealSheet that is written at agreement, timestamped, held by both parties and retrievable by either side independently, and humans keep approval rights at the deal level. When a cancellation is contested, both sides can open the same statement of the notice terms rather than arguing from their own logs.

Separate records are where cancellations tend to go wrong. In the Agree. Transact. Verify. simulation, 95.3% of deals ended with mismatched records when each side kept its own, against 0.19% when both worked from a shared record. A disputed cancellation date is exactly the kind of mismatch that turns into a billing argument.

How much notice is needed to cancel a programmatic deal?

The most widely used reference point is the 4A's/IAB Standard Terms and Conditions, version 3.0, written for US digital media buys of one year or less. Unless an insertion order is designated non-cancellable, the advertiser may cancel all or part of it without penalty on 14 days' prior written notice for guaranteed deliverables, 7 days for non-guaranteed deliverables such as CPC or CPA, and 30 days for flat-fee or fixed-placement buys such as roadblocks and some sponsorships. The same terms let either side terminate for cause if a material breach is not cured within 10 days of written notice.

Television runs on longer clocks. Digiday reported in May 2020 that upfront deals typically required cancellation requests at least 60 days before the next quarter began, and that agency executives were aiming for windows of 30 to 45 days. An agent buying digital and TV in one plan may face several notice periods at once, and its mandate should know each of them.

Notice periods were written for people sending emails. An agent can send a cancellation in milliseconds, but the clock still runs from when notice is validly given. The deal record should say what counts as written notice when the counterparty is also an agent.

How do agent protocols handle pauses and cancellations?

Standards bodies increasingly treat stopping a deal as a defined, recorded action rather than an informal message. IAB Tech Lab's AAMP, the Agentic Advertising Management Protocols, is the framework for its agentic work, and the OpenProposal (AAMP 3.0) public comment period has been extended to 10 November 2026.

IAB Tech Lab's earlier OpenDirect 2.1 specification shows the shape of the problem. An order line moves through defined states that include Booked, InFlight, Stopped, Canceled and Pause, and a line can only be cancelled from the Reserved, Booked or InFlight state. The specification also says who may cancel: advertisers and agencies may cancel lines they own, and an agency may cancel lines belonging to the advertiser accounts it manages.

The Ad Context Protocol (AdCP), published by AgenticAdvertising.org, separates the same actions in its update_media_buy task. Pausing sets paused to true and resuming sets it back to false, while cancelling sets canceled to true with a cancellation reason and is marked irreversible. Cancelling the whole media buy takes precedence over every other change in the same request, and the documentation points new integrations to separate tasks for operational controls and for negotiated cancellation.

Should an AI agent be allowed to cancel a deal on its own?

Most practitioners currently answer no for termination and yes, within limits, for pausing. David Dworin, chief product officer at FreeWheel, said at Advertising Week, as reported by Digiday, that "most agentic systems are either designed with a human that has to approve everything, or very specific controls that can keep it from getting into trouble." In the same piece, Lauren Wetzel of WPP Media described "a clear separation between what is probabilistic AI recommendations versus what is a deterministic execution."

An earned autonomy ladder gives this a structure: Observe, Recommend, Draft, Human-approved action, Bounded automatic action. A pause triggered by a brand safety or delivery signal can sit on the top rung with tight limits, because it can be undone. A cut-off or termination belongs at human-approved action, because it is final and may leave obligations behind.

Regulation points the same way for systems it classes as high-risk. Article 14 of the EU AI Act requires that people overseeing a high-risk AI system can "interrupt the system through a 'stop' button or a similar procedure that allows the system to come to a halt in a safe state." Whether a buying agent falls into that category is a legal question, but "a safe state" is a useful design test: a pause meets it, and a hasty cancellation may not.

The cost of having no stop at all is easy to picture. An ad tech executive told Digiday in November 2025 that their company ran a buying agent on real client campaigns for two days, then shut it down after asking: "What if it makes a mistake overnight or over a weekend?"

What happens to delivery, make-goods and custom work after a cut-off?

A cut-off settles the past as well as the future. The 4A's/IAB terms keep the advertiser liable for custom content already produced before termination takes effect. Their worked example shows that cancelling a guaranteed buy eight days before the first impression leaves the advertiser responsible for the first six days of those deliverables.

Under-delivery before the cut-off is a separate question. If the seller fell short before the deal stopped, a make-good may still be owed, and make-goods in agent-negotiated deals are easier to settle when both sides can see what was delivered up to the stop. For CTV, cancellation and change terms appear among the deal terms an AI agent should never agree without human approval.

A cancellation checklist for agent-negotiated deals

  1. Before agreement: the buyer's mandate states which notice periods and non-cancellable terms its agent may accept alone, and which need a human.

  2. At agreement: cancellation terms, notice periods and what counts as valid notice between agents go into a record both sides hold.

  3. To pause: the agent may pause on defined signals, logs the reason and alerts a named person straight away.

  4. To cut off or terminate: a named human approves, and notice goes through the channel the deal specifies.

  5. After the stop: both sides reconcile delivered volume against the same record before any make-good is agreed.

Frequently asked questions

Can an AI agent cancel a deal without asking a human?

Technically yes, if its mandate and the protocol in use allow it. Most governance models keep termination for a named human and let agents pause within limits, because a pause can be reversed and a cancellation often cannot.

Is pausing a deal the same as cancelling it?

No, they are different actions with different consequences. A pause suspends delivery and the deal can resume on the same terms, while a cancellation ends all or part of the agreement and, in AdCP, cannot be undone.

How much notice is needed to cancel a guaranteed digital buy?

Under the 4A's/IAB Standard Terms and Conditions, it is 14 days' prior written notice for guaranteed deliverables unless the order is marked non-cancellable. Individual deals can set different terms, so the agreed record always takes priority.

What if the agent agreed a non-cancellable deal?

The buyer should assume it is bound by what its agent accepted, and any dispute will turn on the mandate and the agreed record. That is why non-cancellable terms belong on the list of things an agent sends for human approval.

What should be recorded when a deal is cancelled?

The record should show who gave notice, when, under which clause, and what had been delivered up to that point. Both sides should be able to read the same version of that record.

What does this mean for teams running buying and selling agents?

Cancellation rights are negotiated by the agent at the moment of agreement, so the time to decide how a deal can end is before the agent agrees it.

Alkimi works on this from both ends. Its Gym lets buyers and sellers build their own agents, set the rules they work to and spar against counterparty agents before any real money moves, which makes it a sensible place to test what an agent will accept on notice and cancellation. It has also filed comments and change requests in the OpenProposal public comment period, which now runs to 10 November 2026.
